Terms of service

These Terms form a public offer — a proposal to enter into an agreement for access to the Avatar platform (the "Platform") on the conditions below. Creating an account and ticking the consent box constitutes full acceptance of the Terms.
1. Parties and definitions
Operator — the legal entity providing access to the Platform: the Russian entity for Customers paying through YooKassa, and the international entity for Customers paying through Stripe. The contracting party is determined by the workspace country and is shown on the invoice and in the Billing section.
Customer — a legal entity or sole proprietor that created a workspace. Workspace — an isolated area of the Platform holding the Customer's data. Stream — a broadcast featuring an AI avatar on a connected platform. Minutes — streaming time metered per minute. Shopper — a person paying for an order via a link shared during a stream.
2. Subject
The Operator grants the Customer access to the Platform: selecting and configuring AI avatars, uploading a catalogue and knowledge base, running streams on connected platforms, processing comments, creating orders and payment links, analytics. Avatars are rendered by external providers; the specific provider may change without loss of functionality.
3. Plans and payment
3.1. The Starter, Pro and Business plans include a monthly base fee, a quota of live minutes, a number of avatars and social accounts and other limits published on the Pricing page. Enterprise terms are agreed separately.
3.2. Minutes above the quota are billed per minute at the plan rate where the plan allows overage. Overage is not available on Starter: the stream stops when 100% of the quota is reached.
3.3. Prices for Customers from Russia are set in roubles and are independent of exchange rates. Prices for all other Customers are set in US dollars. Taxes are shown separately on the invoice where applicable.
3.4. The subscription is paid in advance for the billing period (one month) and renews automatically. The Customer consents to automatic charges to the saved payment method. Cancellation stops renewal at the end of the paid period.
3.5. The trial lasts 7 days and includes 300 minutes. A payment method is attached at checkout; the first charge occurs when the trial ends unless the subscription is cancelled.
3.6. If a charge fails, the Operator retries for 7 days; the subscription becomes "past due" and then "suspended". In a suspended workspace streams cannot be started; data remains readable.
3.7. On upgrade the difference is prorated for the remaining days of the period; a downgrade takes effect from the next period.
4. Sales commission
4.1. Orders paid by Shoppers through payment methods connected to the Platform (Stripe Connect or the Customer's YooKassa shop) carry a commission at the plan rate (1.5–2%). The commission is calculated on the paid order amount.
4.2. Orders placed via the Customer's external link carry no commission.
4.3. The Platform is not a party to the transaction between the Customer and the Shopper and does not receive Shoppers' funds into its own account, except for withholding the commission through the provider's mechanisms.
5. Customer obligations
5.1. Provide accurate product information: prices, specifications, availability, shipping and return terms. The avatar answers only from the Customer's data; the Customer is responsible for its content.
5.2. Comply with streaming platform rules and with advertising, consumer protection and personal data laws, including issuing receipts where required.
5.3. Not use the Platform to distribute prohibited content or mislead Shoppers, and not upload avatars or voices without their owners' consent.
5.4. Keep credentials secure and promptly notify the Operator of any compromise.
6. Operator obligations and limits
6.1. The Operator provides Platform availability of at least 99.5% per month, excluding scheduled maintenance announced in advance.
6.2. The Operator does not guarantee sales volumes, viewer numbers or specific stream results.
6.3. The Operator may suspend a stream or account for violations of these Terms, platform rules or the law, with notice to the Customer.
6.4. The Operator processes personal data in accordance with the Privacy Policy and stores data of Russian Customers and their Shoppers in the Russian Federation.
7. Intellectual property
Rights to the Platform belong to the Operator. The Customer receives a non-exclusive licence to use the Platform for the subscription term. Rights to the Customer's content, catalogue and materials remain with the Customer; the Customer grants the Operator the right to use them solely to provide the service.
8. Liability
The Operator's liability is limited to the amount paid by the Customer in the last three months. The Operator is not liable for lost profit, for the actions of streaming platforms and payment providers, or for outages caused by third parties. The Customer indemnifies the Operator for losses caused by the Customer's breach of section 5.
9. Term and termination
The agreement runs from registration until the workspace is deleted. The Customer may delete the workspace in settings: data is kept for 30 days for recovery, then erased, and the subscription is cancelled at the provider. The Operator may terminate for material breach with 10 days' notice, or immediately in case of a security threat.
10. Changes to the Terms
The Operator may amend the Terms by publishing a new version on this page and notifying Customers by email at least 10 days in advance. Price changes do not affect the current paid period. Continued use of the Platform after the changes take effect constitutes acceptance.
11. Governing law and disputes
Relations with the Russian Operator are governed by the law of the Russian Federation; disputes are heard at the Operator's location after a mandatory 30-day claim procedure. Relations with the international Operator are governed by the law of its country of registration as shown on the invoice.
